(b) Expenses incurred by an officer or director in defending a civil, criminal, administrative, investigative or other action, suit or proceeding shall be paid by the Corporation in advance of the final disposition of such action, suit or proceeding upon receipt of an undertaking by or on behalf of the director or officer to repay such amount if it shall ultimately be determined by a court of competent jurisdiction that he is not entitled to be indemnified by the Corporation as authorized in this Section. The Secretary shall give, or cause to be given, notice of all meetings of the Directors and all other notices required by law or by these Bylaws, and in case of his or her absence or refusal or neglect to do so, any such notice may be given by any person as directed by the President, or by the Directors upon whose written requisition the meeting is called as provided in these Bylaws.
